Terms & Conditions (T&C)

1. Definitions:
   1. “Nuvama” shall mean Nuvama Wealth Management Limited.
   2. “Confidential Information” shall mean all trade secrets or confidential or proprietary information, including without limitation, information and software related to electronic exchange of data, applications and analyses, which is designated as such in writing by the Data Owner, whether by letter or by the use of an appropriate proprietary stamp, legend or screen caption, prior to or at the time any such information is disclosed by the Disclosing Party to the Recipient. Orally disclosed information shall also be considered Confidential if followed within 30 days by written documentation specifying the disclosure details.
   3. "Recipient" / “You” means the party receiving Confidential Information, whether directly or indirectly.
   4. Transaction – Includes PTC/DA, NCD/CP, and other borrowing engagements for which the Confidential Information was disclosed.
   5. “Company” shall mean the entity who is the owner of the Confidential Information.
2. Restriction on Disclosure and Use:
   1. 2.1 Non-disclosure:
      You shall keep all Confidential Information strictly confidential and shall not disclose it to any person or entity except:
      • Where required by law and advised by counsel
      • To officers, directors, employees, agents, and representatives involved in the Transaction, who agree to these T&C
      You shall not contact any employees, customers, or suppliers of the Data Owner without prior written consent. All communications must be routed through Nuvama unless otherwise authorized.
      
      If legally compelled to disclose any Confidential Information, you must promptly notify Nuvama so that a protective order may be sought. If disclosure is unavoidable, only disclose the minimum information required and cooperate with Nuvama to protect its confidentiality.
   2. 2.2 Ownership:
      All Confidential Information remains the exclusive property of the Company. No rights, title, or interest are transferred to the Recipient.
   3. 2.3 Use:
      Confidential Information shall only be used to evaluate or execute the Transaction. It shall not be used for personal or third-party benefit or in any way detrimental to the Data Owner.
   4. 2.4 Other Parties Bound:
      All directors, officers, employees, agents, or representatives involved in the Transaction shall be bound by this T&C. You are responsible for breaches by such persons.
3. Return of Confidential Information:
   Upon completion of the Transaction or upon request, you shall return all Confidential Information (including notes or materials developed from it) to Nuvama and retain no copies. You will remain bound by this T&C even after return.
4. No Representations or Warranties:
   Confidential Information is provided without warranties regarding its accuracy or completeness. Nuvama disclaims all liability arising out of its use.
5. Limitation on Obligations:
   These obligations do not apply to Confidential Information that:
   1. Was in the public domain at the time of disclosure;
   2. Entered the public domain through no fault of the Recipient;
   3. Was already in Recipient’s possession free of any obligation;
   4. Was lawfully disclosed to the Recipient by another party;
   5. Was independently developed without reference to Confidential Information;
   6. Is required by law or regulation to be disclosed (with prior notice to Nuvama, where possible).

Confirmation of Understanding and Acceptance of T&C

I have read and understood the T&C set out above. I understand that it may affect my rights. I agree to be bound by its terms. I confirm that I am permitted to proceed to electronic versions of these materials.
